Terms of Service

These Terms of Service ("Terms") govern your access to and use of DealerPal (the "Service"), provided by the owners of dealerpal.co.il ("DealerPal", "we", "us"). By creating an account or using the Service, you agree to these Terms.
1. The Service
DealerPal is a platform for car dealerships ("Dealers") that routes, replies to, and manages conversations with customers across WhatsApp, Facebook Messenger, and Instagram, and organizes vehicle inventory and dealership knowledge.
2. Accounts
You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for activity under your account. Access is limited to authorized employees and agents of the Dealer.
3. Acceptable use
- Comply with all Meta platform policies, including the WhatsApp Business Messaging Policy, Messenger Platform Policies, and Instagram Platform Policy.
- Do not send spam, unsolicited bulk messages, or content that violates applicable law.
- Do not use the Service to process data of individuals without a lawful basis.
- Do not attempt to reverse-engineer, overload, or abuse the Service.
4. Dealer data
You retain all rights in the data you upload or that flows through the Service on your behalf ("Dealer Data"). You grant DealerPal a limited license to process Dealer Data solely to provide the Service, subject to our Privacy Policy.
5. AI-generated replies
The Service uses AI models to draft and send replies on behalf of the Dealer. The Dealer is responsible for configuration (tone, guardrails, pricing rules) and for reviewing reply quality. AI output may contain errors; DealerPal does not warrant its accuracy and you should not rely on it for legal, financial, or safety-critical decisions without human review.
6. Fees
If the Service is provided under a paid plan, fees and billing terms are set out in a separate order form or subscription agreement. Meta platform fees (for example WhatsApp conversation charges) are passed through to the Dealer and billed separately by Meta.
7. Third-party services
The Service integrates with Meta Platforms, Clerk, and other third-party providers. Your use of those services is subject to their own terms. DealerPal is not responsible for outages or actions of third-party providers.
8. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access for material breach of these Terms, for abuse that risks platform compliance, or as required by law. On termination we will delete Dealer Data as described in the Privacy Policy.
9. Warranty disclaimer
The Service is provided "as is" and "as available". To the maximum extent permitted by law, DealerPal disclaims all implied warranties, including merchantability and fitness for a particular purpose.
10. Limitation of liability
To the maximum extent permitted by law, DealerPal’s total liability for any claim arising out of or relating to the Service is limited to the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim. DealerPal is not liable for indirect, incidental, consequential, or loss-of-profits damages.
11. Governing law
These Terms are governed by the laws of the State of Israel. The competent courts of Tel Aviv-Yafo have exclusive jurisdiction over disputes.
12. Changes
We may update these Terms; material changes will be posted here with a new effective date. Continued use of the Service after a change means you accept the updated Terms.
